Terms and Termination
-
Unless terminated as provided herein, all Agreement would commence on the Effective Date and will extend to and terminate upon completion of Bangla Soft IT work. Client may not terminate this agreement without at least three written notice.
| Serial No | Description |
| 1 | Client will pay 50% taka of the total amount of the project. |
| 2 | Second payment will be middle time of the project and Third payment will give at end of the project. |
| 3 | Client will have to pay last payment within seven working days. |
| 4 | Bangla Soft IT will provide all kinds of necessary training one time to use the admin panel successfully. |
| 5 | Client could not cancel the agreement after passing 15 days of providing the work order. |
| 6 | If the client wants to cancel the agreement after passing 15 days of providing the work order then they have to be pay 100% payment of the project. |
| 7 | Client must give the requirements in their pad or Bangla Soft IT’s form |
| 8 | Project time calculation will be working day. |
| 9 | The project may be delay due to Political instability/ Environmental / Accidental problem. These situations it may excess to 50% time duration. |
| 10 | If clients want to add any new requirements then it should be negotiable with the Bangla Soft IT. |
| 11 | If any clients want to give the cpanel password they have to pay 5-10% extra payment of the project. |
| 12 | If any clients have another cpanel password then they have to come in Bangla Soft IT. |
| 13 | Ownership of Intellectual Property-To the extent that Developer has received payment of compensation as provided in this agreement, Developer hereby assigns to Client all rights, title, and interest in any intellectual property created or developed by Developer for Client under the Agreement. |
| 14 | Confidential Information- All information relating to Client that is known to be confidential, or which is clearly marked as such, will be held in confidence by Developer and will not be disclosed or used by Developer except to the extent that such disclosure or use is reasonably necessary to the performance of Developer’s Work. All information relating to Developer that is known to be confidential or proprietary, or which is clearly marked as such, will be held in confidence by Client and will not be disclosed or used by Client except to the extent that such disclosure or use is reasonably necessary to the performance of Client’s duties and obligations under this Agreement. The obligations of confidentiality will extend for a period of 20 Years after the termination of this Agreement, but will not apply with respect to information that is independently developed by the parties, lawfully becomes a part of the public domain, or of which the parties gained knowledge or possession free of any confidentiality obligation. |
